(00489.HK), which had been suspended for 10 days, issued a major asset restructuring announcement late at night, planning to privatize and delist, and its subsidiary Lantu Automobile will be independently listed on the Hong Kong Stock Exchange. Moreover, Lantu Automobile has adopted the introduction of listing this time and has entered the Hong Kong Stock Exchange. This combination of "one advance and one retreat" has created a new model for independent listing of new energy businesses of central state-owned enterprises.
The announcement shows that this transaction adopts a combination model of "equity distribution absorption merger", and the two core links are each other and are promoted simultaneously. In the first stage, Dongfeng Group Co., Ltd. distributed 79.67% of its shares in Lantu Auto to all shareholders according to its shareholding ratio. Then Lantu Automobile entered the Hong Kong Stock Exchange through an introduction to listing. In the second stage, Dongfeng Motor's wholly-owned subsidiary Dongfeng Motor Group (Wuhan) Investment Co., Ltd., as the merger entity, paid the equity consideration to Dongfeng Motor, the controlling shareholder of Dongfeng Group Co., Ltd. and cash consideration to other small shareholders, achieving 100% control of Dongfeng Group Co., Ltd.
